Ownership of the Platform:
The domain name www.mawandpaw.com (hereinafter referred to as the ‘Website’) is owned by the Director and licensed to Emersyn Naturals Private Limited, a company incorporated under the Companies Act, 2013 having its registered office at Building no. 162, 1st Road, B/103 Silver Land, Shriprastha, Vasai Taluka Palghar, Maharashtra 401203 (hereinafter referred to as ‘Maw & Paw’) for further use.

Terms and Conditions:
These Terms & Conditions (‘T&C’ or ‘Terms’) govern your Use of Maw & Paw and the products, features, apps, Services, technologies, and Software that we offer (‘the Products’), except where we expressly state that separate Terms (and not these) apply.

Please ensure that you have read and understood these Terms before you have made a purchase with us. By purchasing any of the Services provided by us, or by accessing, browsing, visiting, or transacting in whatsoever nature / way on the Website, you are deemed to have read, understood
and are bound by the terms set out herein and all applicable laws and regulations governing the Website, including but not limited to any additional or amended terms or condition as applicable from time to time, regardless of how you subscribed to or Use the Services. We reserve the right to change, modify, add, and remove portions of these terms at any time without any prior written notice to you, effective immediately upon posting on the Website. Your continued Use of the Website following the posting of changes will mean that you accept and agree to the revisions.

Further, you shall be entering into an agreement with Emersyn Naturals Private Limited and these terms and conditions including the policies constitute your binding obligations with Maw & Paw.

The Indian Contract Act, 1872, The (Indian) Information Technology Act, 2000, and All other rules, regulations, guidelines and clarifications framed there under, as applicable and amended.

By impliedly or expressly accepting these Terms, you also accept and agree to be bound by the Maw& Paw Policies (including but not limited to Privacy Policy available on the Website) as amended from time to time.

For the purpose of these Terms, wherever the context so requires “you” or “User” shall mean any natural or legal person who has agreed to become a buyer/Customer on the Website by providing Registration Data while registering on the Website as Registered User Using the computer systems.

Maw & Paw allows the User to surf the Website or making purchases after registering on the Website. The term “we”/”us” /”our” shall be Emersyn Naturals Private Limited.

Electronic Records:
This document is an electronic record in terms of Information Technology Act, 2000 and rules there under as applicable and the amended provisions pertaining to electronic records in various statutes as amended by the Information Technology Act, 2000. This electronic record is generated by a computer system and does not require any physical or digital signatures.

Communications:
When you Use the Website or send emails or other data, share information or communication with us, you agree and understand that you are communicating with us through Electronic Records and you consent to receive communications via Electronic Records from us periodically and as and when required. We may communicate with you by email or by such other mode of communication, electronic or otherwise.

Applicable laws:
This document is published in accordance with the provisions of Rule 3 (1) of the Information Technology (Intermediaries guidelines) Rules, 2011 that require publishing the rules and regulations, privacy policy and Terms for access or usage of domain name www.mawandpaw.com , including the
related mobile site and mobile application (hereinafter referred to as ‘Platform’), as applicable, and all the laws of the Republic of India are and shall be the governing laws for any purpose whatsoever herein.

Definitions and Interpretation:
“Communication Service” or “Communication Services” means the Services provided by Maw & Paw such as e-mail Services, bulletin board Services, chat areas, news groups, forums, communities, personal web pages, calendars, photo albums, file cabinets and/or other message or communication facilities designed to enable User to communicate with others.

“Services” means the variety of resources, including but not limited to: the creation of an online profile for animals, photos showcasing pet animals, pet animals with their parents/people who adopted them, grooming suggestions, animal health advice through third party industry partners, and pets with their families on vacation getaways, online storage of health records, download areas, Communication Services, emergency Services, product and other information, relevant to the scope of work of Maw & Paw, links to third party websites that Maw & Paw provides to the User.

“Software” means (a) all of the contents of the files, disk(s), CD-ROM(s) or other media with which this Agreement is provided or this Agreement refers to, including but not limited to (i) Maw & Paw’s or third party computer information or software; (ii) digital images, stock photographs, clip art, sounds, mobile application, videos, animations, drawings or other artistic works (“Stock Files”); (iii) related explanatory written materials or files (“Documentation”); and (iv) fonts; and (b) upgrades, modified versions, updates, additions, and copies of the Software, if any, licensed to the User (collectively, “Updates”). “T&C” means this agreement containing the “Terms and Conditions of Use” of the Maw & Paw’s Website. “Use” or “Using” means to access, install, download, copy or otherwise benefit from Using the functionality of the Software in accordance with the Documentation.

“User”, “Users” “you”means the person(s), over the age of 18, or a person under the age of 18 but with the consent of the holder of parental responsibility, and/or legal entity, that is licensed by Maw & Paw to Use the Website and therefore has agreed to this T&C and the Privacy Policy.

“Website” means Maw & Paw website, mobile (Android or iOS), tablet application or any other feature or other Maw & Paw’s platform, application or Software, as applicable. The official language of these terms shall be English.

The headings and sub-headings are merely for convenience purpose and shall not be used for interpretation.

Use of the Website:
You agree, undertake, and confirm that your Use of Website/Platform shall be strictly governed by the following binding principles:

1. You shall not host, display, upload, modify, publish, transmit, update, or share any information which:
(a) belongs to another person and to which you do not have any right to.
(b) is grossly harmful, harassing, blasphemous, defamatory, obscene, pornographic, pedophilia,
libelous, invasive of another’s privacy, hateful, or racially, ethnically objectionable, disparaging, relating or encouraging money laundering or gambling, or otherwise unlawful in any manner whatever; or unlawfully threatening or unlawfully harassing including but not limited to “indecent representation of women” within the meaning of the Indecent Representation of Women (Prohibition) Act, 1986;
(c) is misleading in any way.
(d) is patently offensive to the online community, such as sexually explicit content, or content that promotes obscenity, pedophilia, racism, bigotry, hatred, or physical harm of any kind against any group or individual.
(e) harasses or advocates harassment of another person.
(f) involves the transmission of “junk mail”, “chain letters”, or unsolicited mass mailing or “spamming”;
(g) promotes illegal activities or conduct that is abusive, threatening, obscene, defamatory or libelous;
(h) infringes upon or violates any third party’s rights [including, but not limited to, intellectual property rights, rights of privacy (including without limitation unauthorized disclosure of a person’s name, email address, physical address or phone number) or rights of publicity];
(i) promotes an illegal or unauthorized copy of another person’s copyrighted work such as providing pirated computer programs or links to them, providing information to circumvent manufacture installed copy-protect devices, or providing pirated music or links to pirated music files;
(j) contains restricted or password-only access pages, or hidden pages or images (those not linked to or from another accessible page);
(k) provides material that exploits people in a sexual, violent, or otherwise inappropriate manner or solicits personal information from anyone.
(l) provides instructional information about illegal activities such as making or buying illegal weapons, violating someone’s privacy, or providing or creating computer viruses.
(m) contains video, photographs, or images of another person (with a minor or an adult);
(n) tries to gain unauthorized access or exceeds the scope of authorized access to the Website/Platform or to profiles, blogs, communities, account information, bulletins, friend request, or other areas of the Website/Platform or solicits passwords or personal identifying information for commercial or unlawful purposes from other Users;
(o) engages in commercial activities and/or sales without our prior written consent such as contests, sweepstakes, barter, advertising and pyramid schemes, or the buying or selling of “virtual” products
related to the Website/Platform. Throughout this Terms of Use, Maw & Paw’s prior written consent means a communication coming from Maw & Paw, specifically in response to your request, and specifically addressing the activity or conduct for which you seek authorization.
(p) solicits gambling or engages in any gambling activity which We, in our sole discretion, believes is or could be construed as being illegal.
(q) interferes with another User’s Use and enjoyment of the Website/Platform or any other individual’s User and enjoyment of similar Services.
(r) refers to any Website/Platform or URL that, in our sole discretion, contains material that is inappropriate for the Website/Platform or any other website, contains content that would be prohibited or violates the letter or spirit of these Terms of Use.
(s) harm minors in any way.
(t) infringes any patent, trademark, copyright, or other proprietary rights or third party’s trade secrets or rights of publicity or privacy or shall not be fraudulent or involve the sale of counterfeit or stolen products.
(u) violates any law for the time being in force.
(v) deceives or misleads the addressee/ Users about the origin of such messages or communicates any information which is grossly offensive or menacing in nature.
(w) impersonate another person.
(x) contains Software viruses or any other computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer resource; or contains any trojan horses, worms, time bombs, cancelbots, Easter eggs or other computer programming routines that may damage,
detrimentally interfere with, diminish value of, surreptitiously intercept or expropriate any system, data or personal information;
(y) threatens the unity, integrity, defense, security or sovereignty of India, friendly relations with foreign states, or public order or causes incitement to the commission of any cognizable offense or prevents investigation of any offense or is insulting any other nation.
(z) shall not be false, inaccurate, or misleading.
(aa) shall not, directly or indirectly, offer, attempt to offer, trade or attempt to trade in any item, the dealing of which is prohibited or restricted in any manner under the provisions of any applicable law, rule, regulation or guideline for the time being in force. (ab) shall not create liability for Us or cause Us to lose (in whole or in part) the Services of our internet Service provider (“ISPs”) or other suppliers;

2. You shall not Use any “deep-link”, “page-scrape”, “robot”, “spider” or other automatic device, program, algorithm or methodology, or any similar or equivalent manual process, to access, acquire, copy or monitor any portion of the Website/Platform or any Content, or in any way reproduce or
circumvent the navigational structure or presentation of the Website/Platform or any Content, to obtain or attempt to obtain any materials, documents or information through any means not purposely made available through the Website/Platform. We reserve Our right to bar any such activity.

3. You shall not attempt to gain unauthorized access to any portion or feature of the Website/Platform, or any other systems or networks connected to the Website/Platform or to any server, computer, network, or to any of the Services offered on or through the Website/Platform, by hacking, password “mining” or any other illegitimate means.

4. You shall not probe, scan or test the vulnerability of the Website/Platform or any network connected to the Website/Platform nor breach the security or authentication measures on the Website/Platform, or any network connected to the Website/Platform. You may not reverse lookup, trace or seek to trace any information on any other User of or visitor to Website/Platform, or any
other customer, including any account on the Website/Platform not owned by You, to its source, or exploit the Website/Platform or any Service or information made available or offered by or through the Website/Platform, in any way where the purpose is to reveal any information, including but not limited to personal identification or information, other than Your own information, as provided for by the Website/Platform.

5. You shall not make any negative, denigrating or defamatory statement(s) or comment(s) about Us or the brand name or domain name Used by us, or otherwise engage in any conduct or action that
might tarnish the image or reputation, of Maw & Paw or sellers on platform or otherwise tarnish or dilute any Maw & Paw’s trade or Service marks, trade name and/or goodwill associated with such trade or Service marks, trade name as may be owned or Used by us. You agree that You will not take any action that imposes an unreasonable or disproportionately large load on the infrastructure of the Website/Platform or Maw & Paw’s systems or networks, or any systems or networks connected to Maw & Paw.

6. You agree not to Use any device, Software or routine to interfere or attempt to interfere with the proper working of the Website/Platform or any transaction being conducted on the Website/Platform, or with any other person’s Use of the Website/Platform.

7. You may not forge headers or otherwise manipulate identifiers in order to disguise the origin of any message or transmittal You send to Us on or through the Website/Platform or any Service offered on or through the Website/Platform. You may not pretend that you are, or that you represent, someone else, or impersonate any other individual or entity.

8. You may not Use the Website/Platform or any content for any purpose that is unlawful or prohibited by these Terms of Use, or to solicit the performance of any illegal activity or other activity which infringes the rights of Maw & Paw and / or others.

You shall at all times ensure full compliance with the applicable provisions of the Information Technology Act, 2000 and rules thereunder as applicable and as amended from time to time and also all applicable Domestic laws, rules and regulations (including the provisions of any applicable Exchange Control Laws or Regulations in Force) and International Laws, Foreign Exchange Laws, Statutes, Ordinances and Regulations (including, but not limited to Income Tax, Octroi, Service Tax/GST, Central Excise, Custom Duty, Local Levies) regarding your Use of our Service and your listing, purchase, solicitation of offers to purchase, and sale of products or Services.

You shall not engage in any transaction in an item or Service, which is prohibited by the provisions of any applicable law including exchange control laws or regulations for the time being in force.

Notwithstanding this right, YOU REMAIN SOLELY RESPONSIBLE FOR THE CONTENT OF THE MATERIALS YOU POST ON THE WEBSITE/PLATFORM AND IN YOUR PRIVATE MESSAGES.

In no event shall Maw & Paw assume or have any responsibility or liability for any Content posted or for any claims, damages or losses resulting from Use of Content and/or appearance of Content on the Website/Platform. You hereby represent and warrant that You have all necessary rights in and to all Content which You provide and all information it contains and that such Content shall not infringe any proprietary or other rights of third parties or contain any libelous, tortious, or otherwise unlawful information.

13. Your correspondence or business dealings with, or participation in promotions of, advertisers found on or through the Website/Platform, including payment and delivery of related products or Services, and any other terms, conditions, warranties, or representations associated with such dealings, are solely between you and such advertiser. We shall not be responsible or liable for any loss or damage of any sort incurred as the result of any such dealings or as the result of the presence of such advertisers on the Website/Platform.

It is possible that other Users (including unauthorized Users or “hackers”) may post or transmit offensive or obscene materials on the Website/Platform and that you may be involuntarily exposed to such offensive and obscene materials. It also is possible for others to obtain personal information about You due to your Use of the Website/Platform, and that the recipient may Use such information to harass or injure You. 15. Maw & Paw shall have all the rights to take necessary action and claim damages that may occur due to your involvement/participation in any way on your own or through group/s of people, intentionally or unintentionally in DoS/DDoS (Distributed Denial of Services).

Modified Terms:
We work constantly to improve our Services and develop new features to make our Products better for you and our community. As a result, Maw & Paw shall have the right at any time to change or modify the T&C applicable to User’s Use of our Website/Platform, or any part thereof, from time to time to accurately reflect our Services and practices, or to impose new conditions. Such changes, modifications, additions, or deletions shall be effective immediately upon notice thereof, which may be given by means including, but not limited to, posting on our Website/Platform or by electronic or conventional mail, or by any other means by which User obtains notice thereof. Any Use of Our Website/Platform by User after such notice shall be deemed to constitute acceptance by User of such changes, modifications, or additions. The most current version of the T&C can be reviewed by clicking on the “Terms and Conditions of Use” We hope that you will continue Using our Products, but if you do not agree to our updated Terms and no longer want to be a part of the Maw & Paw community, you can delete your account at any time.
Membership/Registration Eligibility:
The usage of the Website/Platform is available only to persons who can form legally binding contracts under Indian Contract Act, 1872. Persons who are “incompetent to contract” within the meaning of the Indian Contract Act, 1872 including minors, undischarged insolvents etc. are not eligible to Use the Website/Platform. If you are a minor i.e. under the age of 18 years, you shall not register as a User of the Maw & Paw’s Website/Platform and shall not transact on or Use the Website/Platform. As a minor if you wish to Use or transact on Website/Platform, such Use or transaction may be made by your legal guardian or parents on the Website/Platform. Maw & Paw reserves the right to terminate your membership and / or refuse to provide you with access to the Website/Platform if it is brought to Maw & Paw’s notice or if it is discovered that you are under the age of 18 years. Further, to lay the disclaimer / caveat / intimation / notice that all legal – requirements, sanctions, restrictions, licenses, authorizations, authorities, attornments, representations, notifications, classifications, mandates of law including and excluding the law for the time being in force or otherwise; or otherwise ejusdem generis qua the User shall be his / her
own, sole and personal responsibility and that neither the platform nor Emersyn Naturals Private Limited /Platform / Website/Platform shall be responsible in any manner under any circumstance or
whatsoever nature for any liability whether civil, criminal, vicarious, personal, professional and commercial under mandates of law including and excluding the law for the time being in force or
otherwise.

Your Account and Registration Obligations:
If you Use the Website/Platform, you shall be responsible for maintaining the confidentiality of your Display Name and Password and you shall be responsible for all activities that occur under your display name and password. You agree that if you provide any information that is untrue, inaccurate, not current or incomplete or we have reasonable grounds to suspect that such information is untrue, inaccurate, not current or incomplete, or not in accordance with the this Terms of Use, we shall have the right to indefinitely suspend or terminate or block access of your membership on the Website/Platform and refuse to provide You with access to the Website/Platform.

Your contact details such as mobile phone number and/or e-mail address is treated as your primary identifier on the Website/Platform. It is your responsibility to ensure that your mobile / cellular phone number and your email address are always updated on the Website/Platform at all times. You hereby agree to notify us promptly if your mobile phone number or e-mail address or any contact details changes by updating the same on the Website/Platform through onetime password verification or we may share an e-mail for verification of your account.
You agree that Maw & Paw shall not be liable or responsible for the activities or consequences of Use or misuse of any information that occurs under your display name in cases where you have failed to update your contact details such as updated mobile / cellular phone number and/or e-mail address on the Website/Platform.

Charges and Payment Facilities available to the buyers:
Membership on the Platform is free for buyers. Maw & Paw does not charge any fee for browsing and buying on the Website/Platform. Maw & Paw reserves the right to change its Fee Policy from time to time. In particular, Maw & Paw may at its sole discretion introduce new Services and modify some or all of the existing Services offered on the Website/Platform. That the Website/Platform shall levy a charge and / or fee and / or commission and / or fine and / or security from the sellers, Service providers or others who list products on the platform; the sellers, Service providers or others who list products on the platform unconditionally accept the liability to pay such charge and / or fee and / or commission and / or fine and / or security. In such an event Maw & Paw reserves the right to introduce fees for the new Services offered or amend/introduce fees for existing Services, as the case may be. Changes to the Fee Policy shall be posted on the Website/Platform and such changes
shall automatically become effective immediately after they are posted on the Website/Platform.

Unless otherwise stated, all fees shall be quoted in Indian Rupees. You shall be solely responsible for compliance of all applicable laws including those in India for making payments to Emersyn Naturals
Private Limited.

The Users will be charged for the Services availed. The prices mentioned are only an estimate and the actual amount may vary. The payment can be made via:

• Cash on Delivery
• Credit Cards
• Debit Cards.

We reserve the right to modify the abovementioned payment facilities available to the buyers on our own discretion.

Our Services:
Our motive is to build a community/group of their beloved pets and assimilate the spirit of compassion and empathy towards these animals.

The Services includes any updates, enhancements, new features, and/or the addition of any new Web properties, are subject to the Terms.

Our Website/Platform is a one stop platform for all your pet’s needs. Maw & Paw provides a Website/Platform to the Users to avail product Services and more, for your pets by placing requests/ order with Maw & Paw.
a. Our Products include:
Grooming, hygiene, healthcare, medicinal, therapeutic, food and recreational products for pet animals
b. Our Services Include:
(i) The Vet on call feature where you can request for a free advice over email or call as and when required. The Vet (Veterinarian) on call is a purely consulting / advice feature, Maw & Paw, our employees or consulting Vets are not liable for any consequences for such advice and results arising from following from such advice. If critical care or advice is required, then we
recommend the user visiting their nearest Vet.
(ii) We shall also offer you recommendations and suggestions for appropriate Service providers available as per your requirement on best effort basis (‘Service Providers’). However, Maw & Paw cannot be held responsible for errors, misprints, omissions or misinformation. Users are solely responsible for any arrangements made, financial or otherwise, are strictly between the Service Provider and the User. The Service Providers do not in any manner represent Maw & Paw and Maw & Paw cannot be held responsible for any problems, deficiency or otherwise, that
may arise from such arrangements.

Information provided by the Users, through the Services, may contain links to third party websites that are not owned or controlled by Maw & Paw. Maw & Paw has no control over third-party websites and/or Services; Maw & Paw cannot censor or edit the content of such Websites/Platform
and thus assumes no responsibility and cannot be held liable for the content, privacy policies and/or practices of such Websites/Platform.

The prices and availability of products are subject to change without prior notice to you, at our sole discretion.

Availing of Services of Service Providers by other Users:
If you have utilized contact details from the listing Services of Service Providers, Maw & Paw reserves the right to share the information provided by the User with the Service Provider and store such information and/or conversation of the User with the Service Provider, in accordance with our Privacy Policy.

Without prejudice to the generality of the above, Maw & Paw is not involved in providing any of the Services listed by Service Providers and hence is not responsible for any interactions between User and the Service Provider.
User understands and agrees that Maw & Paw will not be liable for:
User interactions and associated issues User has with the Service Provider.
The ability or intent of the Service Provider(s) or the lack of it, in fulfilling their obligations towards Users.
Any wrong quality of Service being given by the Service Provider(s), or any negligence on part of the Service Provider(s). Inappropriate treatment, or similar difficulties or any type of inconvenience suffered by the User due to a failure on the part of the Service Provider to provide agreed Services.

Any misconduct or inappropriate behavior by the Service Provider or the Service Provider’s staff.

Cancellation or no show by the Service Provider or rescheduling of booked appointment or any variation in the fees charged.

rights thereto or have received all necessary consent to do the same.

Use any material or information, including images or photographs, which are made available through the Services in any manner that infringes any copyright, trademark, patent, trade secret, or
other proprietary right of any party.

Upload files that contain viruses, Trojan horses, worms, time bombs, cancelbots, corrupted files, or any other similar Software or programs that may damage the operation of another’s computer or property of another.

Advertise or offer to sell or buy any goods or Services for any business purpose unless such Services specifically allow such messages.

Use, download or otherwise copy, or provide (whether or not for a fee) to a person or entity any directory of Users of the Services (including but not limited to any pet directory created by a User) or other User or usage information or any portion thereof. Further, the User must:
Use the same name that you Use in everyday life.

Provide accurate information about yourself.

Create only one account (your own) and Use your timeline for personal purposes.
Not share your password, give access to your Maw & Paw account to others or transfer your account to anyone else (without our permission).

We try to make Maw & Paw broadly available to everyone, but you cannot Use Maw & Paw if:
We’ve previously disabled your account for breaches of our Terms or Policies. You are prohibited from receiving our products, Services or Software under applicable laws.
Maw & Paw has no obligation to monitor the content uploaded by Users while availing the Services.

However, we reserve the right to review materials posted to the Communication Services and to remove any materials in its sole discretion. We reserve the right to terminate User’s access to any or all the Communication Services at any time, without notice, for any reason whatsoever. The structure, organization and code of the Software is, by its own right, confidential information and is the sole property of Maw & Paw. The Software is protected by copyright laws, including without limitation to the Copyright Laws of India, and applicable laws in the country in which it is
being Used.

Other than the Data; any Software, design of the Services, created texts, scripts, graphic, interactive features and the like; the trade and Service marks, designs, logos (including but not limited to trade
and Service marks), patented (or patent pending) material contained on Our Website/Platform, belongs to Maw & Paw and is protected by Intellectual Property laws in India.

The Software and any copies that you are authorized by Maw & Paw to make, if any; pursuant to the T&C are the intellectual property of and are owned by Maw & Paw.
You also agree not to reverse engineer, decompile, disassemble or otherwise attempt to discover the source code of the Software except to the extent you may be expressly permitted to decompile under applicable law, it is essential to do so in order to achieve operability of the Software with another Software program, and you have first requested Maw & Paw to provide the information necessary to achieve such operability and Maw & Paw has not made such information available.

Without prejudice to the generality of other provisions set out in this document, this Agreement does not grant the User any intellectual property rights in, inter alia, the Software, Trademarks, Designs and Patents of Maw & Paw.

Further, our Website/Platform contains copyrighted material, trademarks, and other proprietary information, including, but not limited to, text, Software, photos, video, graphics, music and sound, and the entire contents of our Website/Platform are copyrighted as a collective work under International copyright laws. Termination:

Website/Platform, to determine compliance with this Terms and any operating rules established by Maw & Paw and to comply any law, regulation, or authorized government request. Maw & Paw shall
have the right in its sole discretion to delete, edit, refuse to post, or remove any material submitted to or posted on our Website/Platform, if it finds to be in violation of the provisions hereof or otherwise objectionable in nature.

Indemnification:

We want to provide the best Products we can and to specify clear guidelines for our Users. Our products, however, are provided “as is”, and we make no guarantees that they will always be safe, secure or error-free, or that they will function without disruptions, delays or imperfections. To the
extent permitted by law, we also DISCLAIM ALL WARRANTIES, WHETHER EXPRESS OR IMPLIED, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT.

We cannot predict when issues may arise with our products. Accordingly, our liability shall be limited to the the value of product, Service availed and the delivery charge, and under no circumstances will we be liable to you for any lost profits, revenues, information or data, or consequential, special, indirect, exemplary, punitive or incidental damages arising out of or related to these Terms or the Maw & Paw Products, even if we have been advised of the possibility of such damages. User expressly agrees that Use of our Website/Platform and/or its Services is at User’s sole risk.

Neither Maw & Paw nor any of their respective employees, agents, third party content providers or licensors warrant that our Website/Platform and/or its Services will not be discontinued or be uninterrupted or be error free; nor do they make any warranty as to the results that may be
obtained from Use of Maw & Paw’s Website/Platform and/or its Services, or as to the accuracy, reliability or content of any information, Service, or merchandise provided through Maw & Paw’s Website/Platform and/or its Services.

This disclaimer of liability applies to any damages (direct or indirect), loss of data or injury caused by any failure of performance of our Website/Platform, including but not limited to: discontinuance of the Services, error, omission, interruption, deletion, defect, delay in operation or transmission,
computer virus, communication line failure, theft or destruction or unauthorized access to, hacking, alteration of, or Use of record, whether for breach of contract, tortious behavior, negligence, or under any other cause of action. User specifically acknowledges that Maw & Paw is not liable for the defamatory, offensive, or illegal conduct of other Users or third-parties and that the risk of injury from the foregoing rests entirely with User.

In no event will Maw & Paw, or any person or entity involved in creating, producing or distributing our Website/Platform and/or its Services , be liable for any damages, including, without limitation, direct, indirect, incidental, special, consequential or punitive damages arising out of the Use of or inability to Use the Maw & Paw Website/Platform and/or its Services. The User hereby acknowledges that the provisions of this section shall apply to all content on the site. In addition to the terms set forth above neither, Maw & Paw nor the information providers or content partners shall be liable regardless of the cause or duration, for any errors, inaccuracies,

Governing Law, Dispute Resolution and Jurisdiction:
In the event of any dispute or differences arising directly or indirectly out of this Agreement or otherwise, the Parties undertake to Use all reasonable endeavors to resolve such disputes amicably.

If disputes and differences cannot be settled amicably, then all disputes and differences arising between the Parties hereto in connection with this Agreement or the interpretation hereof or anything done or omitted to be done pursuant hereto or the performance or non-performance of
this Agreement shall be referred to the Arbitration. Such disputes, differences and/or claims arising out of these presents or as to the construction, meaning or effect hereof or as to the rights and liabilities of the parties hereunder shall be settled by Arbitration to be held at Mumbai in accordance with the provisions of the Arbitration and Conciliation Act, 1996 or any statutory amendments thereof or any statute enacted for replacement therefore and shall be referred to the arbitration of
an arbitral tribunal in the interest of resolving disputes between you and us in the most expedient and cost-effective manner, you and we agree that any and all disputes arising in connection with the
Terms shall be resolved by binding arbitration. Arbitration is more informal than a lawsuit in court.

Arbitration Uses a neutral arbitrator instead of a judge or jury, may allow for more limited discovery than in court, and can be subject to very limited review by courts. Arbitrators can award the same damages and relief that a court can award. Our agreement to arbitrate disputes includes but is not limited to all claims arising out of or relating to any aspect of the Terms, whether based in contract, tort, statute, fraud, misrepresentation or any other legal theory, and regardless of whether the claims arise during or after the termination of the Terms. The seat of Arbitration shall be Mumbai, Maharashtra and the language Used for arbitration shall be English. The Arbitration will be conducted by a sole arbitrator exclusively appointed by Maw & Paw. The award given by such arbitrator shall be final, conclusive, and binding on you as well as the Maw & Paw. The Arbitrator shall be competent to decide whether any matter or dispute or differences referred to him fall within the  purview of arbitration as provided for above and/or the matter relating to arbitration
under the Arbitration and Conciliation Act, 1996.

Assignment:
You will not assign any rights or delegate any obligations under these Terms, in whole or in part, by operation of law or otherwise, without obtaining our prior written consent, which may be withheld
in our sole discretion. We may assign our rights and delegate any of our obligations under these Terms, in whole or in part,
without your consent. Any assignment or delegation in violation of the foregoing will be null and void. These Terms will be binding and inure to the benefit of each party’s permitted successors and
assigns.

Severability:
If any provision of these Terms or circumstance is held to be invalid or unenforceable to any extent, the remainder of these Terms and the application of such provision to persons or circumstances
other than those as to which it is held invalid or unenforceable shall not be affected thereby, and each provision of these Terms shall be valid and enforceable to the fullest extent permitted by Applicable Law. You agree that any invalid or unenforceable provision of these Terms shall be replaced with a provision, which is valid and enforceable and most nearly reflects the original intent
of the unenforceable provision.

Waivers:
No delay or omission by parties to exercise any right or power it has under these Terms shall impair or be construed as a waiver of such right or power. The waiver of a breach of any term or provision of these Terms, which must be in writing, shall not operate as or be construed to be a waiver of any
other previous or subsequent breach of any similar or dissimilar provisions and conditions of this Agreement.

Force Majeure:
We shall be under no liability to you in respect of anything that, if not for this provision, would or might constitute a breach of these Terms, where this arises out of circumstances beyond our control, to the extent that performance of their respective obligations is prevented by an Event of Force Majeure. In this clause, Event of Force Majeure means an event, which prevents a Party from complying with any of its obligations under this Contract, including but not limited to accident; acts of god; natural disasters; sabotage; riot; shortage of supplies, equipment, and materials; strikes and lockouts; civil unrest; computer hacking; or malicious damage.

Entirety:
These Terms and the schedules set forth constitute the entire Terms and understanding of the Parties with respect to the subject matter hereof, and supersedes all prior oral and written agreements, understandings, representations, conditions, and all other communications relating thereto including the any commercial and/or technical proposals.
